About These Terms

These Terms of Use (“Terms”) govern your access to and use of the websites, portals, and online services operated by AIP US (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Definitions

  • AIP US, we, our, or us: AIP US LLC and its affiliates.

  • You or your: Any visitor, customer, or user of the Site.

  • Customer Portal: Any authenticated environment AIP US makes available to customers (e.g., project workspaces, ticketing, documentation).

  • Content: All text, graphics, logos, icons, images, downloads, software, and other materials on the Site.

Customer Portal Access & Security

You may need an account to access the Customer Portal. You are responsible for:

  • Keeping your credentials confidential;

  • Restricting access to your devices; and

  • All activities that occur under your account.
    Notify us promptly of any suspected unauthorized access. We may suspend or terminate access for security or policy reasons. Portal features may be subject to separate agreements that prevail over these Terms in case of conflict.

Acceptable Use & Site Restrictions

You agree not to:

  • Use the Site for unlawful, harmful, fraudulent, infringing, defamatory, or misleading purposes;

  • Attempt to gain unauthorized access to the Site, accounts, or systems;

  • Probe, scan, or test the vulnerability of the Site without express written authorization;

  • Interfere with the proper working of the Site (e.g., overload, flood, spam, mail-bomb);

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code for non-open-source components;

  • Use bots, scrapers, or automated means to access the Site or collect data, except through publicly documented interfaces;

  • Upload or transmit malware, viruses, or harmful code;

  • Remove, obscure, or alter proprietary notices; or

  • Misrepresent your identity or affiliation with any person or entity.

We may monitor compliance and enforce these Terms, including by limiting or terminating access.

Intellectual Property & License

The Site and its Content are owned by AIP US or its licensors and are protected by intellectual property laws.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful, internal, and non-commercial purposes. Except as expressly permitted, you may not copy, reproduce, modify, distribute, display, perform, publish, create derivative works from, or exploit the Site or Content without our prior written permission.
All third-party names, logos, and marks are the property of their respective owners and used for identification only.

Third-Party Links & Services

The Site may link to third-party websites or services. AIP US does not control and is not responsible for their content, policies, or availability. Your use of third-party properties is at your own risk and may be subject to additional terms.

Export Controls & Sanctions

You agree to comply with all applicable export control, sanctions, and anti-boycott laws and regulations. You may not use or access the Site if you are subject to U.S. or other applicable sanctions or are located in a restricted jurisdiction.

Electronic Communications

By using the Site or sending us emails/messages, you consent to receive communications from us electronically (e.g., email, portal notices). You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirements for written communications.

Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIP US DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIP US AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID (IF ANY) TO AIP US FOR SITE ACCESS IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless AIP US and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your breach of these Terms; or (c) your violation of any law or third-party rights.

Changes to the Site or Terms

We may modify the Site at any time, with or without notice. We may also update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the “Last Updated” date above. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

Governing Law & Venue

These Terms and your use of the Site are governed by the laws of the State of Florida, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Florida for any dispute arising out of or relating to these Terms or the Site.

Government Entities. If you are a U.S. state or local government entity and any of the above provisions (e.g., indemnity or governing law) are unenforceable under applicable law, such provisions will apply only to the extent permitted by law.

Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction, including to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Entire Agreement

These Terms constitute the entire agreement between you and AIP US regarding your use of the Site and supersede any prior or contemporaneous agreements on that subject. Additional terms may apply to specific services or portals; if there is a conflict, those specific terms control for their respective services.
